These Terms of Service ("Terms") govern access to and use of the ClinicReady platform, including the simulation engine, Faculty Console, student-facing interfaces, and all associated documentation (collectively, the "Platform"), operated by Clinic Ready Inc. ("ClinicReady", "we", "us", or "our").
By accessing or using the Platform, you ("User") agree to be bound by these Terms. If you are accessing the Platform on behalf of an institution, you represent that you have authority to bind that institution to these Terms. If you do not agree, do not access or use the Platform.
The Platform is intended for use by accredited dental schools, dental residency programs, dental service organizations (DSOs), and their authorized faculty, staff, and enrolled students. Access is granted on an institution-by-institution basis through a License Agreement or Pilot Program Agreement executed with ClinicReady.
Access to the Faculty Console is restricted to authorized faculty and administrators of participating institutions. Faculty Console users are responsible for maintaining the confidentiality of their access credentials and for all activity conducted through their accounts.
Student access is granted via unique team links generated by authorized faculty through the Faculty Console. Students may not attempt to access the Faculty Console or any faculty-only features.
Subject to these Terms and any applicable License Agreement, ClinicReady grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for:

All content, features, and functionality of the Platform — including but not limited to the simulation engine, event library, scoring methodology, archetype system, Faculty Console, documentation, graphics, and software — are owned by Clinic Ready Inc. and are protected by United States copyright, trademark, and other intellectual property laws.
"ClinicReady" and associated logos are trademarks of Clinic Ready Inc. Nothing in these Terms grants you any right to use ClinicReady's trademarks without prior written consent.
Any feedback, suggestions, or ideas you submit regarding the Platform may be used by ClinicReady without restriction or compensation to you.
If you submit custom scenarios, events, or other content through the Platform, you grant ClinicReady a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and incorporate such content into the Platform.
Institutions are responsible for ensuring compliance with FERPA and any other applicable student privacy laws when using the Platform. Institutions must obtain all necessary consents before sharing student data with ClinicReady.
ClinicReady collects and processes usage data, simulation results, and performance metrics generated through the Platform. By using the Platform, you consent to such collection and processing as described in ClinicReady's Privacy Policy.
ClinicReady may use anonymized, aggregated data derived from Platform usage for product improvement, research, and marketing purposes.
The Faculty Console, Faculty Guide, scoring formulas, event trigger conditions, Fragility Index mechanics, archetype threshold parameters, and any other information designated as confidential by ClinicReady constitute Confidential Information. Users with access agree to:
The platform is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, ClinicReady disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Simulation outcomes are generated algorithmically and are intended for educational purposes only; they do not constitute financial, legal, or professional advice.
To the maximum extent permitted by applicable law, ClinicReady shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. ClinicReady's total cumulative liability shall not exceed the amounts paid by your institution to ClinicReady in the twelve (12) months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless Clinic Ready Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; or (c) your institution's failure to obtain required student consents.
These Terms remain in effect for the duration of your institution's agreement with ClinicReady. ClinicReady may suspend or terminate your access at any time for violation of these Terms. Sections 5, 6, 7, 8, 9, and 10 survive termination.
ClinicReady reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Harris County, Texas.
